1. Definitions and general provisions
On the website www.avex-md.com you can review and order electronic products and devices offered AVEX Microdesign Ltd. For this purpose, you have to get acquainted with and accept these General Terms and Conditions, where:
Seller (Company) means -
AVEX Microdesign Ltd, UIC (United Identification Code): 131032680, VAT number: BG131032680, with registered office and business address: 26 Vasil Kanchev Str., entrance G, office 15, Sofia 1510, BULGARIA
Client (Buyer) - any natural person or legal entity who uses the website and accepts the General Terms and Conditions for working with it.
Website – the website with the address www.avex-md.com.
Products - all products that you can see and order on the site.
Personal data - data within the meaning of the Personal Data Protection Act.
CPA - Consumer Protection Act (Bulgarian Legislation).
PDPA - Personal Data Protection Act (Bulgarian Legislation).
General Terms and Conditions (GTC) - terms of use of the site, which establish the relationship between the Seller and the Client.
Carefully read these Terms and Conditions. Using the site means that you accept them and agree to comply with all points and provisions regarding the contractual relationship between the Seller and the Client. If you do not accept them, please do not use this site.
The site may contain links to third parties. They are provided for the Client's more complete information. The Company is not responsible for the content, actuality and privacy policy of sites that are not under its administration.
AVEX Microdesign Ltd. may change the General Terms and Conditions without prior notice. It is the Client's obligation to become acquainted with them before making an inquiry and order.

2. Orders
2.1 How to order
 ●  The Customer views and selects the products. Each product has a detailed description – intended purpose, functions, technical characteristics, instructions for use. In order to make the right choice, the Customer should get to know with them. If he wants, he can download and save the technical characteristics and instruction manual.
 ●  The Customer selects the products from the catalog and places them in the cart. At this stage, he has the opportunity to change the quantities (button “Add”), delete an item from the order (button “Delete”), return to the Product Catalog (button “Back”).
  ●  If he has finished making the selection, he can place an order (button “Order”). For this purpose, registration is required, and in the registration form that appears on the screen, the data necessary for the execution of the order is indicated – name, company name (if a legal entity), delivery address and management address (if a legal entity), telephone and contact email. In this way, the Customer accepts the offer for the product that he sees on the site.
 ●  In case of incorrect data filled in during registration, the Seller cancels the order and is not considered obligated to deliver the goods, thus terminating the contractual relationship with the Customer.
 ●  The order means that the Customer has familiarized himself with the General Terms and Conditions and the Privacy Policy, the methods of ordering and the legal relationships that arise as a result of his actions.

2.2 Execution of the Order
Orders are executed as received.
Orders on the site can be placed at any time or 24 hours a day and 7 days a week. Orders are processed during official working hours within 3 working days after their obtaining.
Within this 3-day period, the Seller sends to the Customer a confirmation by email with the order number. A proforma invoice with the prices of the products and the terms of delivery (delivery times, transport costs, etc.) must be viewed or downloaded from "My Orders". The Customer makes the payment according to this proforma invoice. When logging into his account, the Customer can at any time see the details and status of his order in "My Orders".
If out of stock, the Customer can see the nearest possible date of shipment of the products in the proforma invoice or in "My Orders". If the delivery terms do not satisfy the Customer, he can cancel the order by email.
After the Customer pays according to the provided proforma invoice, the goods are shipped to him within the date specified in the proforma invoice. The payment on the proforma invoice is considered to be the conclusion of a Distance Sales Contract.

2.3 Order Cancellation
The Customer may cancel an order already placed within 3 business days of receiving the proforma invoice. This is possible by sending an email to support@avex-md.com containing the type of product and the order number. The Seller changes the order status and the Customer can verify that his order has been canceled in "My Orders". After this 3-day period, the order is considered active and must be paid for and received.

2.4 Individual orders
Based on the CELLBOARD® modular development system, various modules can be developed and manufactured according to the Customer's individual order. This possibility is a matter of separate negotiation between the Seller and the Customer. For this purpose, a design request can be made on the "Services" page of the site or an email can be sent to support@avex-md.com. Prices, terms and conditions for production are subject to a separate Production Contract, which is concluded with the Customer in writing.

3. Prices and offers
 ●  All prices and offers are listed on the website. The final total price of the selected products, which the Customer receives in the order confirmation (proforma invoice), includes VAT and the delivery cost.
 ●  The Seller has the right to change the price of the product without prior notice depending on market conditions and changes in the prices of the components used for its production. The valid price is the one that the Customer can see on the website at the time of the order.
 ●  From the moment of placing the order until payment, the price of the Products does not change.
 ●  If a Product is on promotion, the new price is displayed next to the old one, with the old one crossed out.

4. Payment
All goods are paid in advance via bank transfer or via the PayPal system according to the proforma invoice available in "My Orders".
When the selected payment method is by bank transfer, the funds should be transferred in advance to the Seller's account within 5 business days after the Seller's email with order confirmation. If payment is not made within this period, the order will be not fulfilled. If the Customer nevertheless wants the goods to be delivered, he must place a new order.
When paying by bank transfer, the bank accounts and attributes are indicated in the proforma invoice.
The Seller is not responsible for the bank fees for the transfer and they are entirely at the expense of the Customer.

5. Invoice
After receiving payment from the Seller, within the 5-day period required by the VAT Act, the commercial invoice as an accounting document is available in "My Orders" and can be downloaded from there.
The Customer is obliged to provide correct billing data. The data is checked and if they are incorrect, the Seller has the right not to fulfill the order.
It is not allowed the billing and delivery addresses to be in different countries. Such orders will not be processed.

6. Delivery
AVEX Microdesign will ship the goods within the shipping period specified in the proforma invoice, after the funds shown in the proforma invoice have been credited to the Seller's account. All products are shipped from Sofia, Bulgaria.
AVEX Microdesign is not responsible for delays or problems with delivery due to the fault of the logistics company, as well as for delays and non-performance due to force majeure circumstances such as random unforeseen events that cannot be avoided.

6.1 Damage during delivery
Upon receipt of the delivery, check its contents in the presence of the courier. If you have any comments regarding the integrity of the packaging and contents, you should immediately make a complaint and request compensation from the courier company. If you fail to do this and sign for acceptance of the goods, the courier company considers that you have accepted the shipment without any comments. Keep all documents related to the delivery to prove the damage until the case is resolved. AVEX Microdesign is not responsible for damage during delivery.

6.2 Incorrect addresses
Enter the delivery addresses carefully. The Seller is not liable for compensation if an incorrect address is provided. Returning the goods due to non-receipt may cost more than the original price of the delivery. In such a case, we refuse to return the goods and do not refund the Customer the price paid for the goods and for the delivery. The acceptance of the goods and the accuracy of the delivery addresses is the sole responsibility of the Customer.

7. Return
The Customer has the right guaranteed by law, without giving a reason and without incurring a penalty, to return the order within 14 days after receiving the goods from the courier. For this purpose, the Customer must inform the Seller of his decision in writing - by email or via a special return form, available here. The email or form sent must contain the name of the product, the order number, contact telephone and email, a copy of the invoice, a copy of the delivery documents. After the 14-day period from the receipt and acceptance of the products by the Customer, the sale is considered final and the Seller does not owe the Customer a refund of the paid amounts.
The return of the products is at the expense of the Customer and it is his responsibility for the shipment to reach the Seller's official address, and his return costs are not refunded.
The Seller is obliged to refund the amount paid by the Customer within 14 days of receiving the product back. For this purpose, the Customer provides a valid bank account. The Seller is not responsible for the Customer's bank fees. The Seller has the right to withhold the refundable amounts until the goods are received back.
The products that are subject to return must be unused. This means that they have not been opened and have not been handled. They must be returned in the condition in which they were received, in their original packaging.
Products damaged by improper storage and transport are also not accepted. In the latter case, compensation must be sought from the courier company (see 6 Delivery).
The products must also be accompanied by all original documents, such as invoice, return form, as well as delivery documents.
Products can be returned both due to non-use within 14 days, and for repair or replacement within the warranty period (see 8.4 Warranties and Complains).
When returning without a reason 50% of all orders placed, the Seller reserves the right not to fulfill the orders of this Customer.

8. Products
The electronic store of AVEX Microdesign Ltd offers to the Customers Modular Development System CELLBOARD®, which is intended for designing and testing various electronic products and devices. It can be used by professionals and amateurs with different interests in a wide range of areas in electronics. The system consists of a motherboard and modules with a great variety of applications.

8.1 Intellectual property of the products
CELLBOARD® holds a certificate for utility model No. 2992 U1, issued by the Patent Office of the Republic of Bulgaria.
The CELLBOARD® system is a registered and protected trademark with certificate No. 105799, issued by the Patent Office of the Republic of Bulgaria.
The system is entirely the intellectual property of AVEX Microdesign Ltd. and any attempts to copy and distribute it without the consent of the Company will be prosecuted in accordance with the relevant legal procedure. This also applies to distinctive signs such as a trademark, logo, etc. placed on the elements of the system.
The system is an integral environment. It also includes products of other companies that are their intellectual property. The Client undertakes to ensure that the projects that he develops and implements using CELLBOARD® together with the modules that are the intellectual property of other manufacturers do not infringe patents, trademarks, logos, content or other intellectual property rights. The client guarantees that he will use the CELLBOARD® system in accordance with all laws and if he commits a violation, the Company is not liable for this.
The intellectual property of AVEX Microdesign is also the website www.avex-md.com with all its content, texts and images, the use, copying, imitation and distribution of which without the consent of the Company is prohibited and subject to legal prosecution.
The website contains links to third-party websites. The Company does not assume liability for any damages and losses arising from the use of their content.

8.2 Product Quality
The elements of the CELLBOARD® system are manufactured in accordance with all modern technological requirements, are precisely tested during production and before being released to the market and have a quality guarantee.
The system uses elements manufactured by third parties, which are selected to meet the high modern quality requirements. The company is not directly responsible for their proper functioning.

8.3 Declarations of Conformity
The products are manufactured in accordance with the EU requirements for RoHS compliance. You can view and download the Declaration of Conformity from here.
The CELLBOARD® system also includes products manufactured by third parties. Their Declarations of Conformity are contained in the Technical File for the product, which is held by AVEX Microdesign and can be obtained upon request.

8.4 Warranties and Complaints
All products are tested during production and checked before shipment. If during operation the products show problems or do not function, we will replace them under the warranty conditions specified below. The warranty on AVEX Microdesign's own products from the CELLBOARD® system is 6 months. It covers manufacturing defects, but does not cover problems arising from improper use, damage from inappropriate power supply voltage, electrostatic shock, improper transportation and the like. Products are not accepted if they are:
 ●  improperly stored or used;
 ●  subjected to any modification by the Customer;
 ●  contaminated or mechanically damaged;
 ●  with erased serial numbers and trademark;
 ●  not returned in ESD packaging;
Complaints can only be made during the warranty period. In the case of complaints about a non-working or defective product, the same rules for notifying the Company in the described order apply (see in detail the 7 Return in the section on accompanying documents).
Products are not accepted if their malfunction is due to the Customer's ignorance, inability or incompetence in handling them.

9. Personal data protection
AVEX Microdesign collects, processes and uses personal data of individuals in accordance with all applicable international and Bulgarian laws such as EU Regulation 2016/679 and the Personal Data Protection Act. You can read more about our Privacy Policy.
The Personal Data Protection Policy is an integral part of the General Terms and Conditions of use of this site and of the contractual relations between the Seller and the Client.

The Seller and the Client agree that the following are accepted as contact between the parties:

The parties' communications by email are considered a written form of correspondence and have the force of a written document.

11. Disputes
Disputes between the parties are resolved in the spirit of good will, and if an agreement cannot be reached - with the competence of the Bulgarian court and according to Bulgarian legislation.
